THIS IS A LEGAL AGREEMENT BETWEEN YOU (ON BEHALF OF YOURSELF AND IF YOU ARE A SPONSOR, ON BEHALF OF YOUR COMPANY OR ORGANIZATION) AND SPONSOR EDGE.  PLEASE READ THIS DOCUMENT CAREFULLY BEFORE CONTINUING TO CREATE YOUR ACCOUNT. BY CLICKING ON THE “YES, I ACCEPT” BUTTON, YOU ARE AGREEING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT CLICK ON THE “YES, I ACCEPT” BUTTON AND DISCONTINUE YOUR REGISTRATION.

SponsorEdge.com reserves the right, in its sole discretion, to modify or otherwise change these Terms of Use or our Privacy Policy at any time with or without notice. Your use of this Website will be conditioned upon the terms and conditions in place at the time of your use.  If at any time you determine that you do not accept these changes, you must immediately discontinue the use of this site.  SponsorEdge.com is a motorsport networking service that allows sponsor seekers (“Members”) to create unique personal profiles in order to find and communicate with one or more participating sponsors (“Sponsors”) and other Members.  You may receive a copy of this Agreement by contacting us here. 

1. Membership. Membership in the Website is void where prohibited.  No minors may use or access this Website unless SponsorEdge.com receives consent from the minor’s parents or legal guardian. By agreeing to these Terms And Conditions   as a Member, or parent/legal guardian of Member, you state that you are at least 18 years of age, are legally capable of agreeing to this Agreement, and that all registration information you submit is truthful and accurate and that you agree to maintain the accuracy of such information. You are solely responsible for all content in your profile, including any requests or offers for sponsorship, messages sent to Sponsors or Members and for your interactions with Sponsors and Members.     

2. Sponsorship Offers. THERE IS NO GUARANTEE THAT SPONSORSHIP WILL BE ACQUIRED OR GIVEN AS A RESULT OF USING THIS WEBSITE.  If you enter into a sponsorship agreement, you agree that you may not disclose to any third party any sponsorship information acquired through this Website, including, but certainly not limited to, the terms of your sponsorship contracts and any other information deemed confidential by the parties of the transaction. You agree to follow all the requirements stated by your applicable sponsorship agreements.  

3. Website Access.  Given your acceptance of all provisions of this Agreement, which includes payment of all fees, SponsorEdge.com grants you, a limited, terminable, personal license to access and use this Website.  All rights not specifically granted shall be reserved and shall always remain with SponsorEdge.com. You shall be exclusively responsible for the control of your user login and password.  We will not be liable for any loss or damages arising from your failure to comply with these terms.  Your right to use this Website is not transferable. You will use this Website in accordance with all applicable laws.  SponsorEdge.com may, without notice, terminate your access to this Website or take other actions as are reasonably necessary in order to comply with legal requirements, to protect SponsorEdge.com’s networks, information, security and integrity of this Website.   

4. Restrictions. You are solely responsible for all acts that occur under your user login and password.  You shall not engage in unacceptable use of this Website, some of which includes, use of this Website to transmit material that: (a) is offensive and promotes racism, hatred or physical harm of any kind ; (b) harasses or advocates harassment of another person; (c) involves the transmission of “junk mail”, “chain letters,” or unsolicited mass mailing;  (d) promotes an illegal or unauthorized copy of another person’s copyrighted work, such as utilizing images without authorization from photographers;  (e) provides material that exploits people under the age of 18 in a sexual or violent manner; (f) involves commercial activities and/or sales without our prior written consent; or (g) is deemed by SponsorEdge.com to be in conflict with the spirit or intent of this Agreement.  SponsorEdge.com reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision including removing the offending communication from this Website and terminating the membership of such violators. YOU SHALL ALSO BE SOLELY RESPONSIBLE FOR ALL FEES AND CHARGES INCURRED THROUGH THE USE OF YOUR LOGIN.   

5. Term/Fees. This Agreement shall remain in full force and effect while you use this Website.  SponsorEdge.com may terminate your membership for any reason, effective upon sending notice to you at the email address you provide in your registration or such other email address as you may subsequently provide to SponsorEdge.com. If SponsorEdge.com terminates your access to this Website because you have breached this Agreement, you shall not be entitled to the refund of any unused portion of membership fees.  Even after membership is terminated, the terms of this Agreement shall survive. Membership fee is subject to change each year and membership fees are not refundable upon membership termination.

6. Sponsor Products.   If a Sponsor sponsors you, you may be able to purchase goods and services at a reduced price from that Sponsor. Any of your correspondence and transactions with Sponsors, including any purchases, and any other terms, conditions, actions, warranties or representations associated with such transactions is solely between you and the Sponsor. We are not responsible for evaluating and we do not warrant the products of any of these Sponsors.  WE EXPRESSLY DISCLAIM AND MAKE NO REPRESENTATIONS, GUARANTEES OR WARRANTIES AS TO ANY TRANSACTION CONDUCTED THROUGH ANY SPONSOR, ANY PRODUCTS OFFERED THROUGH THE SPONSOR OR ANY OTHER ACTIVITY ARISING FROM OR RELATED TO THE SPONSOR. PRODUCTS THAT ARE PURCHASED THROUGH SPONSORS ARE PURCHASED FROM THE SPONSORS ONLY AND NOT FROM SPONSOREDGE.COM.  In the event that you have a dispute with one or more Sponsors, you release SponsorEdge.com and our respective officers and employees from any claims, demands and damages of every kind arising out of or in any way connected with such disputes.      

7. Credit Card Payments. This Section shall apply if you elect to make payments on the Website using a credit card. You hereby authorize SponsorEdge.com and its payment processor to charge all amounts owed as a result of your use of this Website to the credit card you provide to SponsorEdge.com.  You assume all responsibility for notifying us of changes in credit card numbers and/or expiration dates.  You shall additionally be responsible for and shall immediately pay SponsorEdge.com, on demand, any payments that are made to us that are subject to a subsequent reversal.  YOU AGREE THAT (I) THE CREDIT CARD INFORMATION SUPPLIED TO US IS TRUE, CORRECT AND COMPLETE, (II) PAYMENTS MADE TO US WILL BE HONORED BY YOUR CREDIT CARD COMPANY, AND (III) YOU SHALL PAY FOR ALL CHARGES INCURRED THROUGH USE OF YOUR LOGIN.  

8. Taxes. You are solely responsible for payment of all taxes arising from your purchases of products from Sponsors.

9. Non-Commercial Use. The Website is for the use of Members and Sponsors only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by the management of SponsorEdge.com.  Except as permitted by SponsorEdge.com, all advertisements, unsolicited mailings or advertisement to, or solicitation of, any Member or Sponsor to buy or sell any products or services through this Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from profiles without notice and may result in termination of membership privileges. Appropriate legal action will be taken by SponsorEdge.com for any illegal or unauthorized use of this Website.  

10. Proprietary Rights To Website. The content, organization, graphics, design, and any other matters related to this Website are protected under applicable U.S. and international copyright, trademark and other intellectual property rights. Except for that information in the public domain, you may not copy, modify, publish, distribute, display, or sell any such proprietary information. “SponsorEdge.com” logos and others marks are either trademarks or registered trademarks of SponsorEdge.com.  SponsorEdge.com exclusively owns all interest in all software, contents, graphics, designs, and other materials included within this Website. We reserve the right, in our sole discretion, to edit or delete any documents, information or other content appearing on this Website at any time without notice.   

11. Our Rights To Your Content. You understand and agree that SponsorEdge.com may review and delete any content that in the sole judgment of SponsorEdge.com violates this Agreement. You are solely responsible for the content that you publish or display along with any material or information that you send to other Members and Sponsors. By posting content in any area of SponsorEdge.com, you automatically grant as well as represent that you have the right to grant to SponsorEdge.com, an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute such information and content and that SponsorEdge.com has the right to prepare derivative works of, or incorporate into other works, such information and content.  

12. Use of Intellectual Property.  No portion of this Website may be reproduced, downloaded, distributed, republished, transmitted or copied in any form, without the prior written permission of SponsorEdge.com. Nothing contained in this Agreement shall be construed as granting to the user an ownership interest in any copyright, trademark, patent or other intellectual property right of SponsorEdge.com.  If you believe that your work has been copied and posted on this Website in a way that constitutes copyright infringement, please provide our office with the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on this Website; your address, telephone number, and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.  SponsorEdge.com’s Copyright Agent for notice of claims of copyright infringement can be reached as follows:

Your SponsorEdge.com profile may include personally identifiable items, including: last names, email addresses, telephone numbers, and street addresses.  SponsorEdge.com reserves the right, in its sole discretion, to reject, refuse to post or remove any profile, request for sponsorship, or posting (including email) by you, or to restrict, suspend, or terminate your access to all or any part of this Website at any time, for any reason, with or without prior notice, and without liability.    

14. Privacy. Any and all information that we obtain from you or from transactions processed through this Website, including names, addresses, telephone numbers, e-mail addresses and any other information concerning use, transactions, and traffic through the Website may be collected and used by us as provided in our Privacy Policy. You confirm that you have read our Privacy Policy, and agree that the terms of such policy are reasonable and satisfactory to you. SponsorEdge.com makes no representation or warranties with regard to the sufficiency of the security measures used for data handling and storage. SponsorEdge.com will not be responsible for any actual or consequential damages that result from a lapse in compliance with our Privacy Policy because of a security breach or technical malfunction.  

15. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES WILL SPONSOREDGE.COM OR ANY OTHERS INVOLVED IN CREATING THIS WEBSITE AND ITS CONTENTS BE LIABLE FOR ANY DAMAGES OR INJURY, INCLUDING ANY DIRECT, INDIRECT, CONSEQUENTIAL, PUNITIVE OR OTHER DAMAGES, WHETHER FORESEEABLE OR NOT, THAT ARE IN ANY WAY RELATED TO THESE TERMS OF USE, ANY VIRUSES AFFECTING THIS WEBSITE, THE USE OR INABILITY TO USE THIS WEBSITE AND THE RESULTS GENERATED FROM THE USE OF THIS WEBSITE.   

16. Remedies. You hereby acknowledge that if SponsorEdge.com, in its sole discretion, determines you to be in breach of these Terms and Conditions, SponsorEdge.com may restrict, suspend, or terminate your access to all or any part of this Website or terminate your membership with SponsorEdge.com with or without notice.  

17. Indemnity. You agree to indemnify, defend, and hold harmless SponsorEdge.com, its officers, agents, and any other partners and employees from and against all damages, claims, liabilities, losses and other expenses, including without limitation reasonable attorneys’ fees and costs, that arise out of or relate to (i) your use of this Website; (ii) your breach of this Agreement ; (iii) any products you purchase from Sponsors, and all product liability and other claims you may have against the Sponsor or any other party arising from the use of such products; (iv) any disputes you may have with Sponsors

18. Links/Frames.  This Website may contain links to Web sites operated by third parties and may also provide third party content on our Site by “framing” or other methods.  To the extent this Website contains links to outside services; you agree that your use of such links is solely at your own risk and that any concerns regarding such services should be directed to the particular outside service provider. Sponsors and other outside service providers, and their respective employees and agents are not related to SponsorEdge.com and Sponsor Edge, LLC is not responsible for any of their conduct, acts or omissions.   The presence of a link to a third part site does not constitute or imply Sponsor Edge endorsement, sponsorship, or recommendation of the third party or of the content, products or services available through their site.  If you choose to access any third party site or rely on information found on any third party site, you do so at your own risk.

19. Disputes. If there is any dispute involving this Website, you agree that any dispute shall be governed by the laws of the State of Wisconsin without regard to conflict of law provisions and you agree to personal jurisdiction by and venue in the state and federal courts of the State of Wisconsin, City of Fond du Lac.   

20. Miscellaneous. Should any part of this Agreement be held invalid or unenforceable, that portion shall be severed and the remaining portions shall remain in full force and effect. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce that or any other provision of this Agreement.   In the event a dispute arises regarding this Agreement or the use of this Website, the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs incurred, in addition to damages and any other relief to which it is entitled.  

21. Authority. If you are entering into this Agreement on behalf of an entity, you represent and warrant that you have the authority from your respective entity to enter into this Agreement and to bind your respective entity to all the terms and conditions of this Agreement.

SELECTING “YES, I ACCEPT” WILL BE THE LEGAL EQUIVALENT OF YOUR SIGNATURE ON A WRITTEN CONTRACT, AND EQUALLY BINDING. YOU MUST AGREE TO THESE TERMS AND CONDITIONS IN ORDER TO CREATE AN ACCOUNT AND USE THIS WEBSITE.
